TERMS AND CONDITIONS

These terms and conditions apply to the use of Centell Limited's (the "Company") betterlifetoolkit.com website (the "Website"). Your use of the website signifies your agreement to be bound by these terms and conditions
If you cannot accept these terms and conditions, then you must not use the Website. If however you agree to them unconditionally, you must tick the box. You will then be able to place an order with the Company.

LICENCE TO USE THE WEBSITE

The Company grants you a non-exclusive, non-transferable, limited right to access, use and display the Website, and to print the results of your toolkit profile for your personal and/or business use only, provided that you fully comply with these terms and conditions. Any other use of the materials on the Website, or of the results generated by your toolkit is strictly prohibited without the prior permission of the Company. You shall not interfere or attempt to interfere with the operation of the Website in any way, through any means including, but not limited to, spamming, hacking, uploading computer viruses, logic bombs, or any means expressly prohibited by law and/or by any provision of these terms and conditions.
A legally binding contract will subsist between you and the Company as and when you receive your purchased questionnaire(s) in respect of your chosen toolkit Questionnaire from the Company by email, following payment by you in full. Acceptance will be deemed complete and effectively communicated to you as soon as the Company sends you the email containing your tax invoice/receipt (whether or not you receive that email). Once a contract is formed, your Questionnaires(s) are available for you to answer and view for a period of 365 days at which point it will be permanently removed.

GOVERNING LAW AND JURISDICTION

These terms and conditions should be governed by English law. The sole and exclusive jurisdiction for any action or proceeding arising out of or relating to these terms and conditions shall be the appropriate English court. All contracts are treated as made in England, even though you may be based outside this jurisdiction. For your convenience, the Company's details are as follows:

PRICE AND PAYMENT

Prices displayed on the Website are the prices at which (subject to these terms and conditions) questionnaire(s) for your toolkit may be purchased. The Company reserves the right to alter its prices from time to time, and to update the Website accordingly. Payments must be made by credit card in accordance with the Company's online credit card order form. All transactions are carried out through a secure standard 128-bit SSL encryption to protect your personal and credit card details.

OWNERSHIP OR COPYRIGHT, TRADE MARKS AND MATERIALS ON THE WEBSITE

Subject to the paragraph below, all copyright, trade marks, design rights or other intellectual property rights in relation to the Website are, and will remain the absolute property of the Company. By using the Website, you obtain no title, interest or other proprietary right in relation to the Company's intellectual property.
The Company owns, controls, licenses or has the right to use all material on the Website including, without limitation, text, images, articles, photographs, illustrations, audio and video clips. The Website is protected under English and international copyright laws and conventions and all rights are fully reserved. You agree to abide by all copyright notices, information or restrictions displayed on the Website.

DISCLAIMERS

Whilst the Company has taken all reasonable care to compile accurate information, and to keep it up to date. The material on this Website is provided on an As Is basis and the Company cannot guarantee the correctness, completeness or usefulness of information contained on the Website.
The Website including all content, software functions, materials and information made available on or accessed through the Website is made, other than expressly stated, without any conditions, representations or warranties, whether express or implied, and whether by statute, common law or otherwise including, without limitation for non infringement, quality or fitness for a particular purpose. The Company does not warrant that the functions, features or data in the Website will be uninterrupted or error free, that defects will be corrected, or that any other website or server that makes it available is free from viruses or any other harmful components.
The Company accepts no responsibility for any damages arising from the loss or use of any information supplied by you.
The Company accepts no liability in respect of any toolkit results generated by the Website.

LIMITATION OF LIABILITY

If the Company is liable to you the Company's total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise shall in no circumstances exceed the sum of 125% of the price payable by you in respect of the Questionnaire Toolkit.

The Company shall not, in any event be liable for loss of profits; loss of contracts; loss of money; loss of anticipated savings; loss of business; loss of opportunity; loss of goodwill; loss of reputation; loss, damage to or corruption of data; or any indirect or consequential loss and such liability is excluded whether it is foreseeable, known, foreseen or otherwise. For the avoidance of doubt, the exclusions set out in this clause apply, whether such losses are direct, indirect, consequential or otherwise.

YOUR RIGHT TO WITHDRAW

Subject to the provisions of this paragraph, you have a period of fourteen working days the opportunity to withdraw from your contract with the Company from the date your order for Questionnaire(s) is accepted by the Company (see Licence to use the Website paragraph above). If you cancel the contract pursuant to this paragraph, the Company agrees to refund to you in full all payments made by you for Questionnaire(s) used in respect of that contract. To cancel your contract, please send an email within the 14 day period to betterlife@centell.org with your order reference number. Your monies will be refunded to the credit card used for your purchase.

YOUR CONDUCT

You are prohibited from posting or transmitting to or from this Website or any Questionnaire any material:
(a) that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience
(b) for which you have not obtained all necessary licences and/or approvals;
(c) which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party, in the UK or any other country in the world; or
(d) which is technically harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data).

You may not misuse the Website (including, without limitation, by hacking).

The Company will fully co-operate with any law enforcement authorities or court order requesting or directing the Company to disclose the identity or locate anyone posting any material in breach of these Terms and Conditions.

Links to third party websites on this Website are provided solely for your convenience. If you use these links, you leave this Website. The Company has not reviewed all of these third party websites and does not control and is not responsible for these websites or their content. The Company therefore does not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. If you decide to access any of the third party websites linked to this Website, you do so entirely at your own risk.

If you have any complaints whilst using the Website, please contact the Company at the email address specified at the top of these terms and conditions.

PRIVACY POLICY

(For the purposes of this clause ("the Privacy Policy"), all terms shall, where relevant, be given the meanings given to them in the Data Protection Act 1998 ("the Act"). The Company is the Data Controller for information disclosed in relation to this Website and they are committed to protecting your privacy. By using the Website , you give consent under the Act to the personal information about you disclosed by you as a result of your use of the Website being:
1. processed by the Company in order to produce your toolkit results and provide the services generally; and
2. stored by the Company for 365 days from date of order in order to provide a personalised service; and
3. stored and used by the Company for current and future marketing purposes; and
4. used generally in accordance with this Privacy Policy.

Subject to the above, the Company will not (except as may be required by law) use your personal information and other data for any other purpose or share it with any other third party (unless it is required to do so by law), will attempt to keep your personal information complete, accurate, up to date and will not hold your personal information for longer than required. Whilst the Company has taken all reasonable physical and technical steps to ensure the security of the Website, it accepts no liability for hackers or other breaches of security caused by third parties.

Cookies are strings of information which the Company may from time to time transfer to the browser on your computer's hard disk to enable them to remember who you are when you return to the Website. YOU HAVE CONTROL

If at any stage you would like to check or amend the information held by the Company about you please send an e-mail to betterlife@centell.org and the Company will take the necessary action within a reasonable time. The Company reserve the right to charge a fee of £10 for complying with such a request. The Company also reserve the right to take reasonable steps to confirm your identity before making any disclosure of information held by them.

If you want to be removed from the Company's mailing list please send an e mail to betterlife@centell.org and add the word REMOVE in the subject box and the address that you wish to be removed (if it is different to that which you send the e mail from). There may be a short period of time following your e mail before your details are removed.

TRANSFER OF DATA

You agree and give your consent that all information provided by you may be transferred outside the European Economic Area to enable the Company to provide its services.

INFORMATION COMMISSIONER

The Information Commissioner is aware of the Company's data processing, as they have notified the Commissioner in accordance with the Data Protection Act 1998.
